What an LLC really pays each year, and what is an optional add-on

The required yearly costs come from the state, not from a registered agent. State pages show Florida at $138.75, Delaware at $400, California at $800, Wyoming at $60 or more, and New York at $9 every two years. Texas sets a $2,650,000 no tax due threshold. A commercial agent is a separate private fee the state does not set.

Required by the state, and what is not

Every number in the state sections below comes from a state fee page or statute opened on October 26, 2026. They are the costs the law attaches to the company itself: a filing fee to form it, and a recurring annual filing, tax or statement. A private registered agent, a mail forwarding plan or a compliance reminder service is not on any of those lists.

Fees change, so treat the figures as what each source said on the day it was read, and check the linked page before you pay anyone.

Florida

The Florida Department of State fee schedule lists the new LLC filing fee at $100.00 and a required registered agent fee at $25.00, for a total of $160.00 with an optional certified copy and certificate of status. The same schedule lists the LLC annual report at $138.75 and an annual report "received after May 1st" at $538.75.

The Sunbiz annual report page says filers have until 11:59 PM on Friday, May 1, 2026, before a $400 late fee is assessed.

Delaware

Section 18-1105 of the Delaware LLC Act sets the fee for a certificate of formation at $70. Section 18-1107 sets an annual tax for a domestic LLC "in the amount of $400," due on the first day of June following the close of the calendar year.

The Division of Corporations says LLCs, LPs and GPs are not required to file an Annual Franchise Tax report, but must pay the $400 yearly tax on or before June 1st. It also says failure to pay brings a penalty of $200.00 plus 1.5% interest per month on tax and penalty.

California

The Franchise Tax Board says every LLC doing business or organized in California must pay an annual tax of $800, even if it is not conducting business, until the LLC is cancelled. The first-year payment is due by the 15th day of the 4th month after the LLC files with the Secretary of State. The FTB also says an LLC with more than $250,000 in California income pays an additional fee.

The Secretary of State lists the Articles of Organization at $70.00 online, and the Statement of Information at $20.00, due within 90 days of registration and every two years after.

Texas

The Secretary of State says the filing fee for an LLC certificate of formation is $300. The Comptroller says the annual franchise tax report is due May 15, and lists a no tax due threshold of $2,650,000 for the 2026 and 2027 report years.

The Comptroller adds that an entity at or below the threshold still files a Public Information Report or Ownership Report. The pages read here do not state a separate annual state fee for a Texas LLC, so none is listed.

Wyoming

The Secretary of State Business Division fee schedule lists Articles of Organization for an LLC at $100.00. Its note says the annual report license tax is "$60 or two-tenths of one mill on the dollar ($.0002) whichever is greater," based on assets located and employed in Wyoming.

New York

The Department of State says the fee for filing the Articles of Organization is $200. Its biennial statement page lists a "$9 filing fee for Biennial Statement" and says LLCs file every two years.

The registered agent, and why it is a separate line

Florida section 605.0113 says each LLC "shall designate and continuously maintain" a registered office and a registered agent, and the agent may be an individual who resides in the state with a business address identical to the registered office. Delaware section 18-104 lets the agent be "the limited liability company itself" or an individual resident. The Texas Form 205 instructions go the other way: the LLC cannot act as its own agent, though an individual resident can. The pages read here do not say what a private agent charges, because the states do not set it. Vermilion Vitez resells registered-agent service fulfilled by Registered Agents Inc.

Questions that avoid surprise subscriptions

Before paying any provider, check whether the first-year price renews higher, and whether each add-on renews automatically. Read what the renewal notice will say and when it will arrive. The main site compares registered agent costs by provider on one page.

FAQ

What does an LLC have to pay the state every year?

It depends on the state. The sources here list $138.75 for a Florida annual report, a $400 Delaware annual tax, an $800 California annual tax, a $60 minimum Wyoming license tax, and a $9 New York biennial statement every two years.

Is a registered agent fee a state fee?

No. Florida lists a $25.00 registered agent line in its formation fees, but what a private agent charges per year is not set by the state.

Can I be my own registered agent?

Florida section 605.0113 allows an individual who resides in the state with a business address identical to the registered office. Delaware section 18-104 allows the LLC itself. Texas says an LLC cannot act as its own agent.

Does Texas charge an LLC a yearly state fee?

The Comptroller pages read here list a $2,650,000 no tax due threshold and a May 15 report due date. They do not state a separate annual fee.

What should I check about auto-renewal?

Check whether the first-year price renews higher and whether each add-on renews automatically before you agree to either.
